Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the ArkFlow website and platform, operated by Solarmente (Pty) Ltd (Reg. 2022/654500/07), trading as ArkFlow. By creating an account, opening a secure link we sent you, or otherwise using the platform, you agree to these Terms and to the Privacy Policy, which forms part of them. If you do not agree, do not use the platform.

ArkFlow provides software for solar installers, EPCs and their customers: lead capture and pipeline, indicative finance proposals, a guided client finance application that packages deals for funders, a project document register and milestone invoicing. The platform is provided free of charge to installers and to customers: there is no subscription fee, no fee per user and no fee to receive platform-referred leads. ArkFlow is remunerated only on successful outcomes, as set out in clause 4.

ArkFlow serves two kinds of user. Customers are homeowners and businesses using the client portal to compare finance options, get prequalified and prepare and submit their own finance application. Business users are solar and water installers and EPCs, suppliers, brokers, and funders. You must be at least 18 and, where you act for a company, authorised to bind it. In every case you are responsible for the accuracy of the information you provide, for keeping your login credentials and secure links private, and for all activity under your account or links.

Business users who open an installer (EPC) account also accept the Partner Agreement presented at signup, which governs the commercial relationship between the installer and ArkFlow and should be read with these Terms.

ArkFlow is a software platform. Solarmente (Pty) Ltd is not a bank, credit provider, financial services provider or broker, and does not provide financial, credit, investment, tax or legal advice. Customers prepare and submit their own finance applications through the platform; all credit decisions, approvals and terms rest solely with the relevant lender. Lender names shown on the platform indicate application routes available through it and do not imply endorsement by, or partnership with, those institutions.

• Your account is free of charge and does not expire. There is no subscription fee, no fee per user and no fee to receive platform-referred leads. No card and no debit order mandate is required to use the platform.
• Where a deal is successfully funded through the ArkFlow lender panel, a finance origination fee of 1% of the funded amount applies. It is included as a stated line in the bill of quantities submitted to the lender, funded at drawdown, and invoiced pro-rata as each payment is released. Deals funded through a customer’s own bank or an installer’s own lenders carry no finance origination fee.
• Where ArkFlow introduced the lead to you and that deal is won, a lead origination commission of 3% of the deal value applies. It applies to that deal only. Leads you source yourself carry no lead origination commission.
• Both fees are payable only on successful outcomes. Where a deal does not fund, or is not won, no fee is payable.
• Partner and API arrangements, including use of the prequalification tool, the application software and the proposal engines within your own systems, are priced separately and agreed in writing on a case-by-case basis. Where such an arrangement involves payment, it is collected through PayFast under the mandate you authorise.
• Current fees are published at arkflow.co.za/pricing. All fees are stated exclusive of VAT unless indicated otherwise.
• Amounts already invoiced are non-refundable except where required by law.

Finance proposals, calculators and figures produced by ArkFlow (including the on-site calculator, prequalification and underwriting screening) are indicative estimates for planning purposes only. They are not a credit agreement, a binding finance offer, a quote, a pre-approval, or financial advice. Actual finance terms are determined solely by the relevant lender or funder, subject to their assessment, credit approval and the National Credit Act where applicable.

You agree not to:

• Use the platform for any unlawful purpose or to submit fraudulent or misleading information.
• Upload or capture another party’s personal or financial information without a lawful basis and their awareness.
• Forward or share a secure link addressed to another person, or use a link that was not issued to you.
• Attempt to disrupt, reverse-engineer, or gain unauthorised access to the platform.
• Resell or sublicense access to the platform except as expressly permitted.

You retain ownership of the client and deal data you put into ArkFlow. You grant us the limited right to process it to deliver the service. Where you use the white-label features, you are responsible for the accuracy of your branding and for your relationship with your end clients. Our handling of personal information is described in our Privacy Policy.

Where an installer enters a client's details on the platform, the installer warrants that it collected those details lawfully and that the client expects to be contacted about solar finance. On capture, ArkFlow sends that client a welcome message with secure links to their prequalification, proposal and application (by email and SMS, or WhatsApp where the client has opted in), and the client may take control of, or withdraw, their application at any time. An installer may tick the WhatsApp updates option for a client only where the client has asked for it.

By using the platform you agree to receive the service messages the process requires (welcome, document and signature requests, status and lender updates, receipts and account notices) by email and, where you have supplied a mobile number, by SMS. WhatsApp updates are sent only where you have separately opted in, and you may opt out at any time by replying STOP or through your portal profile menu. Service messages about your own application are not direct marketing; we will not send you marketing without a separate opt-in. Electronic notices to the email address on your account are effective when sent.

Consents, resolutions, mandates and agreements on the platform are concluded electronically. You agree that clicking to accept, typing your name, or otherwise indicating assent on the platform is your electronic signature and is valid and binding in terms of section 13 of the Electronic Communications and Transactions Act, 2002, and that the resulting record (text version, date and time, your name and ID or passport number, IP address and browser) is admissible evidence of what you agreed. Where you sign on behalf of a company, you warrant that you are authorised to do so. You may request a copy of any record you signed.

ArkFlow facilitates the packaging and submission of finance applications to banks and funders. We are not a lender. An underwriting summary is shared with a lender only after you submit your application, and only with the lenders you selected. The decision to fund, the finance terms, and the relationship with the funder rest between the client and the funder. ArkFlow is not responsible for any funder's decision, conduct, or terms.

The ArkFlow platform, software, brand and content are owned by Solarmente (Pty) Ltd. These Terms do not transfer any intellectual property rights to you beyond the limited right to use the platform.

The platform is provided “as is”. To the maximum extent permitted by law, ArkFlow is not liable for indirect or consequential loss, or for loss arising from funder decisions, third-party services (including message delivery by email, SMS or WhatsApp), or your reliance on indicative figures. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including under the Consumer Protection Act, 2008 where it applies to you.

You may stop using ArkFlow and close your account at any time. We may suspend or terminate access where these Terms are breached or where required by law. Provisions that by their nature should survive termination (including clauses 4, 9, 11 and 12) will do so.

These Terms are governed by the laws of the Republic of South Africa, and the South African courts have jurisdiction over any dispute.

We may update these Terms from time to time; material changes will be posted on this page with a new “Last updated” date, and account holders will be notified by email.
